Creststreet 2004 Limited Partnership
DescriptionCreststreet 2004 Limited Partnership's (the "Partnership") investment objective is to invest with a view to: (I) preservation of capital; and (ii) capital appreciation on the Partnership??s investments. The Partnership??s investment strategy is to invest in Flow-Through Securities that: (I) represent good value in relation to the market price and intrinsic value of the Resource Issuer??s shares; (ii) have experienced and capable senior management; (iii) have a strong exploration program in place; and (iv) offer potential for future growth.
Mutual Fund Rollover Transaction and Termination of the Partnership: The General Partner implemented an exchange transaction (the "Mutual Fund Rollover Transaction") on January 20, 2006 pursuant to which the Partnership transfered its assets to Creststreet Mutual Funds (the "Mutual Fund"), an open-end mutual fund corporation managed by Creststreet, in exchange for Mutual Fund Shares. Immediately thereafter, the Partnership was dissolved and the Mutual Fund Shares were distributed pro rata to Limited Partners. This exchange occured on a "roll-over" basis and did not result in any tax consequences to Limited Partners. Limited Partners are able to redeem their Mutual Fund Shares at any time on or after May 26, 2006. A redemption of a Mutual Fund Share will generally result in a capital gain.
