Investment Objective: The Partnership has been established to invest in Flow-Through Shares and Subordinated Notes of Kettles Hill, a Canadian company that is constructing and operating a wind energy project to generate electricity for sale to the Alberta power market at prevailing market prices. Kettles Hill is also selling its Green Credits. Kettles Hill does not have a fixed price power purchase arrangement for its electricity production at this time. As the Flow-Through Shares qualified as "flow-through shares" as defined in subsection 66(15) of the Tax Act, purchasers of Units were (i) entitled to claim certain deductions from income for income tax purposes for the 2005 taxation year, and (ii) own an ongoing investment in the Partnership, which will own Flow-Through Shares and Subordinated Notes of Kettles Hill.
